Terms & Conditions
These Terms and Conditions (“Terms”) govern your access to and use of the software, applications, websites, educational offerings, artificial intelligence tools, integrations, communities, content, and related services (collectively, the “Platform” or “Services”) provided by CPA Tech Inc. and certain affiliated entities.
By downloading, installing, accessing, or using the Platform or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and the applicable Privacy Policy. If you do not agree to these Terms, you may not access or use the Platform or Services.
1. About the Platform
The Platform is owned and operated by CPA Tech Inc., a technology company focused on developing software, workflow tools, educational technologies, communities, artificial intelligence solutions, and related digital products and services.
Certain educational programming, continuing professional education (“CPE”) courses, certificates, professional services, regulated offerings, or related activities made available through the Platform may be provided by CPA Club Inc., a California licensed accountancy corporation and NASBA-registered CPE sponsor.
CPA Club Inc. and CPA Tech Inc. are affiliated entities under common control and may share personnel, operational resources, technology, customer support, marketing, distribution, onboarding, analytics, administrative functions, and related business operations in connection with the Platform and Services.
CPA Tech Inc. is a technology company and is not a licensed CPA firm or accountancy corporation.
Nothing within the Platform or Services constitutes the practice of public accountancy by CPA Tech Inc. Any professional services requiring licensure are provided solely by appropriately licensed entities or individuals where applicable.
Certain consulting, advisory, implementation, or other professional services provided by CPA Club Inc. may be governed by separate agreements, engagement letters, terms, or policies.

2. Definitions
“CPATech” means CPA Tech Inc.
“CPAClub” means CPA Club Inc.
“Affiliates” means any entity controlling, controlled by, or under common control with CPA Tech Inc. or CPA Club Inc.
“Platform” means all software, applications, websites, educational offerings, AI-powered tools, integrations, workflows, communities, content, and related technology made available by CPATech or its affiliates.
“Services” means any subscriptions, products, software features, educational programs, support offerings, integrations, professional services, AI tools, or related services made available through the Platform.
“User Content” means any information, files, prompts, submissions, communications, comments, posts, or other materials submitted, uploaded, generated, or transmitted by users through the Platform.
3. Eligibility & Permitted Use
You must be at least 18 years old to access or use the Platform or Services.
The Platform is intended for professionals, organizations, students, and related users seeking educational, professional development, workflow, technology, productivity, community, or related services.
You agree to use the Platform only for lawful purposes and in compliance with these Terms and all applicable laws, regulations, contractual obligations, and professional standards.
You may not use the Platform:
- to violate applicable law or regulation;
- to infringe intellectual property or privacy rights;
- to upload malicious code or harmful content;
- to interfere with Platform functionality or security;
- to impersonate another person or entity;
- or to engage in fraudulent, abusive, harassing, deceptive, or disruptive conduct.
4. Accounts & Security
You may be required to create an account to access certain Services.
You are responsible for:
- maintaining the confidentiality of your account credentials;
- all activity occurring under your account;
- and ensuring your account information remains accurate and current.
You agree to notify us promptly of any unauthorized use of your account or suspected security breach.
We reserve the right to suspend or terminate accounts that violate these Terms or create risk to the Platform or its users.
5. License to Use the Platform
Subject to your compliance with these Terms, CPATech grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and Services for your internal personal or business use.
You may not:
- copy, reproduce, distribute, sublicense, lease, or commercially exploit the Platform or its content without authorization;
- reverse engineer, decompile, disassemble, or attempt to derive source code or underlying systems;
- use automated scraping, bots, crawlers, or data extraction tools;
- interfere with Platform security, access controls, or functionality;
- remove proprietary notices or branding;
- or use the Platform in violation of applicable law, contractual obligations, or professional standards.
6. App Store Terms
6.1 Apple App Store
If you access or download any portion of the Platform through the Apple App Store, the following additional terms apply:
- These Terms are between you and CPATech only, not Apple Inc.
- Apple is not responsible for the Platform, Services, or their content.
- Apple has no obligation to provide maintenance or support services relating to the Platform.
- In the event of any failure of the Platform to conform to an applicable warranty, you may notify Apple and Apple may refund the purchase price, if any, paid for the applicable application. To the maximum extent permitted by law, Apple has no other warranty obligations relating to the Platform.
- Apple is not responsible for addressing claims relating to the Platform, including product liability claims, legal compliance claims, or intellectual property claims.
- You must comply with applicable third-party terms when using the Platform.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you.
6.2 Google Play Store
If you access or download any portion of the Platform through Google Play, the following additional terms apply:
- These Terms are between you and CPA Tech only, not Google LLC.
- Google is not responsible for the Platform, Services, or their content.
- Google has no obligation or liability relating to the Platform under these Terms.
7. Subscriptions, Billing & Purchases
7.1 Subscription Plans
Certain features, content, tools, communities, educational offerings, AI functionality, or Services may require a paid subscription, license, or purchase.
Subscription plans, pricing, included features, usage limits, and billing terms may vary by product, offering, organization, or subscription tier and may change from time to time.
7.2 Billing & Renewal
Subscriptions may be billed on a recurring basis, including monthly, annual, usage-based, seat-based, or other billing structures disclosed at the time of purchase.
Unless otherwise stated, subscriptions automatically renew at the end of each billing cycle unless canceled before renewal.
By purchasing a subscription, you authorize CPATech, its affiliates, payment processors, or the applicable app store to charge your designated payment method.
7.3 Free Trials & Promotional Access
We may offer free trials, beta access, promotional subscriptions, discounts, or limited-access programs from time to time.
Unless otherwise disclosed, paid subscriptions may automatically begin at the conclusion of the applicable promotional period unless canceled beforehand.
7.4 Cancellation
You may cancel recurring subscriptions at any time through:
- your account settings;
- the applicable app marketplace;
- or other designated billing methods.
Unless otherwise stated, cancellations become effective at the end of the current billing cycle and previously paid fees are non-refundable.
7.5 Refunds
For purchases made through third-party marketplaces, including the Apple App Store or Google Play, refunds are governed by the applicable marketplace policies.
For direct purchases made through CPATech or its affiliates, refund eligibility, if any, will be governed by the applicable subscription or purchase terms presented at the time of purchase.
Unless otherwise required by law, refunds are not guaranteed for:
- partially used subscription periods;
- completed educational programs;
- issued certificates;
- consumed credits;
- downloaded content;
- or enterprise licensing commitments.
PATHS Subscriptions. PATHS is a self-study CPE course platform. All PATHS subscription purchases and renewals are final. CPATech does not offer refunds, credits, or prorated reimbursements for unused subscription time, individual courses accessed through PATHS, or cancellations initiated mid-term. This no-refund policy applies regardless of whether a given course has been started, partially completed, or not accessed at all. By subscribing to PATHS, participants acknowledge and agree to this policy prior to completing their purchase or renewal.
7.6 Pricing Changes
We reserve the right to modify pricing, subscription structures, features, usage limits, or billing models at any time.
Where required by applicable law, we will provide advance notice of material pricing changes before they take effect.
Continued use of the applicable Services following the effective date of updated pricing constitutes acceptance of the revised pricing.
8. Educational Services & Professional Content
Certain educational content, professional learning programs, certifications, webinars, nano learnings, or continuing education offerings made available through the Platform may be administered by CPAClub or other authorized providers.
Completion requirements, attendance verification procedures, assessments, certificate eligibility, and related standards may vary by offering.
Users are solely responsible for determining whether any educational content, credits, certifications, or training satisfy applicable licensing, employment, regulatory, or professional requirements.
Educational and informational content made available through the Platform does not constitute legal, accounting, tax, audit, investment, regulatory, or other professional advice.
8.1 Continuing Professional Education (“CPE”) Programs
Certain educational offerings made available through the Platform may qualify for continuing professional education (“CPE”) credit through CPAClub or other authorized providers.
Where indicated, qualifying programs are intended to align with applicable NASBA Quality Assurance Service (“QAS”) standards or other applicable continuing education requirements.
Eligibility for CPE credit may require:
- completion of all required coursework;
- attendance verification;
- participation tracking;
- completion of assessments or examinations;
- minimum passing scores;
- or satisfaction of other program requirements communicated within the applicable offering.
Users are solely responsible for determining whether any educational offerings, certificates, or credits satisfy the requirements of their applicable licensing board, employer, regulator, or jurisdiction.
Neither CPATech nor CPAClub guarantees acceptance of credits, certificates, or educational programs by any specific state board, regulator, employer, or professional organization.
8.2 Certificates & Educational Records
Upon successful completion of qualifying educational offerings, users may receive certificates of completion or similar records through the Platform.
Users are responsible for maintaining their own educational and compliance records where required.
CPAClub, CPATech, or their affiliates may retain educational completion records for periods deemed appropriate for operational, regulatory, compliance, or business purposes.
8.3 Educational Content & Accuracy
Educational content made available through the Platform is intended for informational and educational purposes only.
Accounting standards, tax laws, regulatory guidance, auditing standards, technology practices, and professional requirements may change frequently.
CPATech, CPAClub, and their affiliates do not warrant that educational content is fully current, complete, accurate, or applicable to any specific factual situation.
Users should not rely solely on Platform content as a substitute for independent professional judgment or consultation with qualified advisors.
9. Artificial Intelligence & Automated Features
Certain features of the Platform may utilize artificial intelligence, machine learning, automated systems, recommendation engines, predictive analytics, or generative technologies.
AI-generated outputs are provided for informational and educational purposes only and should not be relied upon as a substitute for independent professional judgment.
CPATech and its affiliates do not guarantee the accuracy, completeness, reliability, legality, or suitability of AI-generated outputs or recommendations.
Users are solely responsible for reviewing and validating any outputs before relying upon them.
10. Enterprise & Organizational Accounts
Organizations, firms, employers, schools, or enterprise customers may purchase subscriptions or licenses covering multiple users.
Enterprise administrators may have access to certain usage, billing, reporting, or account-related information associated with users connected to their organization.
Additional enterprise-specific terms may apply.
11. User Content
You retain ownership of User Content you submit through the Platform.
By submitting User Content, you grant CPATech and its affiliates a worldwide, royalty-free, non-exclusive license to host, store, reproduce, process, display, modify, distribute, and use such content for purposes related to operating, improving, supporting, securing, marketing, and providing the Platform and Services.
You represent that:
- you own or control the rights necessary to submit User Content;
- your User Content does not violate applicable law or third-party rights;
- and your User Content does not contain unlawful, harmful, or infringing material.
11.1 Content Standards
You may not submit User Content that:
- is false, misleading, defamatory, fraudulent, or deceptive;
- infringes intellectual property, privacy, or publicity rights;
- contains confidential or unauthorized personal information;
- is abusive, threatening, harassing, discriminatory, or unlawful;
- promotes illegal activity or unauthorized commercial solicitation;
- contains malware, harmful code, or security threats;
- or otherwise violates these Terms or applicable law.
11.2 Content Moderation
CPATech and its affiliates reserve the right, but not the obligation, to review, monitor, remove, restrict, modify, or disable access to User Content or accounts at our discretion.
We may investigate suspected violations of these Terms and cooperate with law enforcement or regulatory authorities where appropriate.
12. Community Standards
Certain portions of the Platform may include community, collaboration, networking, messaging, leaderboard, discussion, or social features.
Users are expected to engage professionally and respectfully.
Prohibited conduct includes:
- impersonation;
- spam or disruptive activity;
- unauthorized solicitation or recruiting;
- sharing confidential or proprietary information without authorization;
- harassment, doxxing, or abusive conduct;
- circumventing moderation or account restrictions;
- or conduct that creates legal, reputational, operational, or security risk.
Violations may result in content removal, account suspension, restricted access, or permanent termination.
13. Push Notifications & Communications
The Platform may send:
- push notifications;
- in-app messages;
- email communications;
- reminders;
- alerts;
- educational updates;
- or service-related communications.
You may manage certain communication preferences through your device settings, account settings, or unsubscribe functionality where applicable.
Standard messaging and data rates may apply.
14. Intellectual Property
Except for User Content, all software, source code, algorithms, workflows, interfaces, designs, trademarks, graphics, branding, educational content, assessments, videos, systems, documentation, and related technology associated with the Platform are owned by CPATech, CPAClub, their affiliates, licensors, instructors, contractors, or content providers and are protected by applicable intellectual property laws.
Nothing in these Terms transfers ownership of intellectual property rights to you.
15. Privacy & Data Sharing
Information collected through the Platform may be shared between CPATech, CPAClub, and their affiliates for purposes including:
- account administration;
- customer support;
- analytics;
- educational administration;
- CPE compliance;
- fraud prevention;
- enterprise account management;
- marketing;
- product development;
- operational support;
- and service delivery.
Your use of the Platform is also governed by the applicable Privacy Policy, which is incorporated into these Terms by reference.
16. Third-Party Services
The Platform may integrate with or provide access to third-party services, websites, APIs, software, payment processors, cloud providers, analytics providers, or external platforms.
CPATech and its affiliates are not responsible for third-party services or their policies, content, availability, or security practices.
Your use of third-party services is governed by their applicable terms and policies.
17. Disclaimers
THE PLATFORM AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CPATECH, CPACLUB, AND THEIR AFFILIATES DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND RELIABILITY.
WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.
EDUCATIONAL, PROFESSIONAL, OR AI-GENERATED CONTENT IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE LEGAL, ACCOUNTING, TAX, AUDIT, INVESTMENT, OR OTHER PROFESSIONAL ADVICE.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CPATECH, CPACLUB, THEIR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, INSTRUCTORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE PLATFORM OR SERVICES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF:
- THE AMOUNTS PAID BY YOU TO US DURING THE 12 MONTHS PRECEDING THE CLAIM; OR
- $100.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
19. Indemnification
You agree to indemnify, defend, and hold harmless CPATech, CPAClub, and their affiliates, officers, directors, employees, contractors, agents, licensors, instructors, and service providers from and against any claims, liabilities, damages, losses, expenses, or costs, including reasonable attorneys’ fees, arising out of or related to:
- your use of the Platform;
- your User Content;
- your violation of these Terms;
- or your violation of applicable law or third-party rights.
20. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
Any dispute arising out of or relating to these Terms or the Platform shall first be subject to good-faith negotiation.
If unresolved within 30 days, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (“AAA”), except that either party may seek injunctive relief in a court of competent jurisdiction.
YOU WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTION LITIGATION OR JURY TRIALS TO THE MAXIMUM EXTENT PERMITTED BY LAW.
Notwithstanding the foregoing, claims arising under applicable consumer protection statutes may be pursued in a court of competent jurisdiction where required by law.
21. Suspension & Termination
CPATech and its affiliates may suspend, restrict, or terminate your access to the Platform or Services at any time, with or without notice, if:
- you violate these Terms;
- create legal, operational, reputational, or security risk;
- fail to pay applicable fees;
- or engage in conduct deemed harmful to the Platform, Services, or users.
You may terminate your account at any time through available account settings or by contacting [email protected].
Upon termination:
- your license to use the Platform immediately ends;
- certain data may be retained as permitted or required by law;
- and surviving provisions of these Terms remain enforceable.
22. Modifications to the Platform or Terms
We may modify, suspend, discontinue, or update any portion of the Platform or Services at any time.
We may also update these Terms periodically. Continued use of the Platform following updated Terms constitutes acceptance of the revised Terms.
If you do not agree to revised Terms, you must discontinue use of the Platform and Services.
23. General Provisions
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
These Terms, together with the applicable Privacy Policy and any supplemental agreements, constitute the complete agreement between you and us regarding the Platform and Services.
Failure to enforce any provision does not constitute a waiver.
We may assign these Terms without restriction. You may not assign your rights without prior written consent.
Force majeure events beyond our reasonable control may excuse performance delays or interruptions.
